2050 MATERIALS Terms of Service
About
2050 Materials is a platform (the “Platform”) that enables manufacturers/suppliers to list their products, centralize all product data and obtain KPIs and analytics. At the same time, it enables sustainability consultants, architects (and other specifiers), contractors and other construction professionals to understand product performance data easily and discover, evaluate, compare and specify building products. The platform and integrated tools allow for fine-grained analysis, benchmarking and reporting in the specification and procurement processes for construction projects of any scale.
General
These terms of service (the “Terms of Service”) are a legally binding agreement between 2050 MATERIALS LIMITED (“2050 MATERIALS”, “we”, “our” or “us”), a company registered in the Republic of Cyprus, with registration number HE424472 and having its registered office Chrysorrogiatissis & Kolokotroni, 3040 Limassol, Cyprus and the person agreeing to the terms herein (“you” or “user”).
The Terms of Service will be effective as of the date you click the “Sign Up” button as part of the registration process, or have an active account created and issued to you by 2050 Materials.
User account
You may use elements of the Platform by simply visiting it (for a limited timeframe) or registering on the platform.
In order to create a user account:
- each user is required to register by completing the registration form;
- the user must provide accurate information in the registration form, namely a full legal name, a valid email address, company details, and phone number (optional) in order to complete the registration form;
- the user must be at least 18 years old.
The decision to accept a registration is at our sole discretion and we may revoke a registration at any time.
You may not register to use the Platform if (i) you already registered or (ii) you were previously a registered user and we terminated your account as a result of your being in breach of our Terms of Service.
Appropriate use
The Platform may be used only in accordance with these Terms of Service as well as any other operating rules, regulations and policies that may be published from time to time in the Platform.
We reserve the right, at our sole discretion, to amend or replace these Terms of Service by posting the updated terms on the Platform. When such changes take place, we will ask you to accept the updated terms during your next login.
You may only use our Platform in accordance with our Terms of Service and subject to all laws and regulations of the Republic of Cyprus. You agree that you shall not:
- use the Platform for any illegal or unauthorized purpose;
- share your login information (username and password) with anyone else;
- share a single login with multiple people;
- use the Platform for any commercial activity or purpose or any activity that is competitive with that of the Platform, unless you have our written permission;
- access, monitor or copy any content or information of the Platform using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
- take any action that imposes, or may impose, at our discretion, an unreasonable or disproportionately large load on our infrastructure;
- upload, post, host or transmit unsolicited email, SMS messages or “spam” messages;
- transmit any worms or viruses or any code of a destructive nature;
- "frame", "mirror" or otherwise incorporate any part of the Platform into any other website or application without our prior written authorization; or
- attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by us in connection with the Platform.
Subscription Fees and Payment
Information on the general packages of services (subscription packages) can be found in the 2050 Materials pricing document. The exact package of services is outlined in the Contract and Invoice document sent to you via email.
You are obliged to pay the amount due by the due date as specified on your Contract and Invoice document. If you fail to make any payment due by the due date for payment, then, your subscription will be immediately suspended.
Cancellation and Termination
You are solely responsible for cancelling your subscription. Cancellation of the service must be explicitly requested in writing no later than 30 days before the subscription period ends. If the cancellation is not requested explicitly, the service will automatically renew for the following 12 months following the expiration of the subscription period and every year after that unless the cancellation is explicitly requested at least 30 days before the subscription period ends. Any changes to the scope of the current service due to additional services will be agreed upon on a case-by-case basis and, wherever applicable, included within the following year's subscription fee.
2050 MATERIALS, at its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Platform for any reason. Such termination of your account will result in the deactivation or deletion of your account or your access to your account and the forfeiture and relinquishment of all content in your account.
Upon cancellation or termination, personal information may remain on our systems, in accordance with our Privacy Policy.
If a cancellation request is made after a payment, the payment cannot be refunded.
Unauthorized payment
Payment is only made for subscriptions to the Platform where applicable and not for any other purpose. Payment is safely processed from your credit/ debit card or bank account.
In the event of credit card fraud or unauthorized use of your credit card by a third party, we will not have any liability to you or others.
You are responsible for maintaining the confidentiality of your access information (such as your username, password or any other personal identification number). If you choose to permit any other person to access the Platform on your behalf by providing your access information, then in addition to this being a breach of these Terms of Service, you also accept full responsibility for the acts or omissions of that person when accessing the Platform on your behalf whether such access was authorized by you or not.
If you have any reason to believe that your access to the Platform is no longer secure, you must change your access information immediately.
Intellectual property
Except where specifically stated otherwise, we are the owners or the licensee of all trade marks, copyright, database rights, patents, and other registered and unregistered intellectual property rights in our Platform, and in the material published in it including but not limited to the text, images, graphics, sound files, animation files, video files, information, appearance, organization, layout, software, and their arrangement on our Platform. All such rights are fully reserved. Reproduction of part or all of the contents in any form is prohibited other than in accordance with the following permissions.
You may not upload any material in our Platform unless you are the owner or have the necessary licence to upload that material. By publishing such material, you are providing us with a non-exclusive licence to use that material. This licence does not affect your rights as the owner of the material you have uploaded.
We may use the material uploaded in our Platform to create additional content. Any content created with the use of the material uploaded by you, will be exclusively owned by us and you hereby grant, assign and convey to us all rights, title, interest and right to register for any copyrights, patents, trademarks, industrial designs, or other intellectual property rights relating to such created content and confirm that you have no claim and/or rights whatsoever in relation to the creation of such content.
You may print off one copy, and download extracts, of any page(s) from our Platform for your personal use and you may draw the attention of others within your organization to content posted on our Platform. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
Our status (and that of any identified contributors) as the authors of content on our Platform must always be acknowledged.
You must not use any part of the content on our Platform for any commercial purposes without obtaining a licence to do so, either from us or our licensors, as the case may be.
Nothing contained in our Platform should be construed as conferring any licence or right under any intellectual property (including but not limited to patents, trade marks and copyright) of 2050 MATERIALS or any third party.
If you breach any of these Terms of Service, your right to use our Platform may cease and you must, at our option, return or destroy any copies of the materials you have made.
Communications and content from other users
Communications from users or other material sent through the Platform or otherwise including any messages, offers, files, reviews, questions, photographs or videos, comments, suggestions (“content”) are deemed to be non-confidential and non-proprietary, and we shall have no obligation of any kind or have any control whatsoever, with respect to such information.
Users who are manufacturers are solely responsible for the content posted on their account. We are under no obligation to review content or information that may be uploaded, posted or transmitted in any way in the course of or as a result of using the Platform.
2050 MATERIALS shall be free to use the content posted for any purpose it deems appropriate, including reproduction and publication, and may use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever, including commercial purposes, without paying users for the right to do so. 2050 MATERIALS takes no responsibility and assumes no liability for any content sent, posted, stored or uploaded by you or any third party, for any communication between users or for any loss or damage thereto. Nor is 2050 MATERIALS liable for any mistakes, omissions, you may encounter in relation to content provided by any of its users.
2050 MATERIALS is not liable for any statements, representations or content provided by its users. If you wish to enter into a contract and/or arrangement and/or business relationship with another user, you are solely responsible to negotiate the terms of such contract and/or arrangement and/or business relationship and we accept no liability for the performance of the obligations of the other user.
No warranties
The Platform is provided “as is,” and 2050 MATERIALS makes no express or implied representations or warranties, of any kind related to the Platform or the materials contained on the Platform. Additionally, nothing contained on the Platform shall be construed as providing consultation or advice to you. All product data or information provided by the users is the user's liability, 2050 MATERIALS is not and will not be liable for any errors or inaccurate information contained therein.
Your access to the Platform may be suspended or restricted occasionally to allow for maintenance, repairs, upgrades, or the introduction of new facilities or services. We will always try to limit the frequency and duration of any planned disruption but we will not be liable to you if for any reason the Platform is unavailable at any time or for any period.
Although we make reasonable efforts to update the information on the Platform, we make no representations, warranties or guarantees, whether express or implied, that the content on the Platform is accurate, complete or up to date.
Limitation of liability
Please read this section carefully. This section limits our liability to you for issues that may arise in connection with your use of our Platform.In no event shall 2050 MATERIALS, or any of its subsidiaries, officers, directors and employees, be liable to you for anything arising out of or in any way connected with your use of the Platform, whether such liability is under contract, tort or otherwise, and 2050 MATERIALS including its subsidiaries, officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of the Platform. All product data or information provided by the users is the user's liability, 2050 MATERIALS is not and will not be liable for any errors or inaccurate information contained therein.
Nothing in these Terms of Service excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by the laws of the Republic of Cyprus.
If we are found liable for any loss or damage that arises out of or is in any way connected with your use of the Platform, then our liability will in no event exceed the aggregate amount in Euros or GBP of the Contract and Invoice.
To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our Platform or any content on it, whether express or implied.
We do not represent or warrant that (a) the use of the Platform will be secure, timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data, (b) the Platform will meet end-user requirements or expectations, (c) any stored data will be accurate or reliable, (d) the quality of any products, services, information, or other material purchased or obtained by you through the Platform will meet your requirements or expectations, (e) errors or defects will be corrected, or (f) the service or the server(s) that make the Platform available are free of viruses or other harmful components.
Indemnification
You hereby agree to indemnify 2050 MATERIALS, to the fullest extent from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorneys’ fees) arising out of or in any way related to your breach of any of the provisions of the Terms of Service up to (and not exceeding) an aggregate amount in Euros or GBP of the Contract and Invoice.
Third party links
The Platform may contain hyperlinks which link you to other websites on the Internet, which are operated by parties other than 2050 MATERIALS. Please ensure that you read the legal sections of any other third-party site which you may visit. These links are provided for your information only. 2050 MATERIALS has no control over the nature and contents of such websites and is not responsible nor it accepts any liability for any information or opinion contained in any third-party website. It is up to you to ensure and take precautions that the links that you select or software you use is free of such items as viruses, worms, trojan horses and malware. The inclusion of hyperlinks to such websites does not constitute endorsement of the material on such websites and does not imply any association with their operators.
Privacy
You acknowledge and understand that any and all personal information you provide to us via the Platform and your navigation in it may be collected, stored, processed and used in accordance with our applicable Privacy Policy.
Miscellaneous
If we fail to insist that you perform any of your obligations under these Terms of Service or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean we will automatically waive any later default by you.
Any rights not expressly granted are reserved.
Severability
If any of the Terms of Service including the limitation of liability is found to be illegal, invalid or unenforceable, then same will be severed from the Terms of Service which remain in full force and effect. The invalid provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and you will at least agree to accept a similar effect as the invalid, unenforceable or non-binding provision, given the contents and purpose of the Terms of Service.
Entire Agreement
The Terms of Service, including any legal notices and disclaimers contained on the Platform, constitute the entire agreement between 2050 MATERIALS and you in relation to your use of the Platform, and supersede all prior agreements and understandings with respect to the same.
Applicable Law
The Terms of Service shall be governed by the laws of the Republic of Cyprus and the Courts of the Republic of Cyprus shall have exclusive jurisdiction in relation to any disputes arising out of or in connection with the Terms of Service.
